LIMITED WARRANTY

U.S. Air Tool Co. (“USATCO”) warrants that products manufactured by USATCO will be free from defects in material and workmanship under normal use and service for a period of one (1) year from the date of shipment by USATCO.

To obtain warranty service, Buyer must notify USATCO in writing upon discovery of the alleged defect, but in no case more than one (1) year following the original date of shipment by USATCO, and obtain a Return Material Authorization (“RMA”) before returning any product. Buyer shall be responsible for transportation charges to USATCO. All returned products will be inspected by USATCO, and USATCO will determine the existence of a covered defect in its reasonable judgement.  All returned items must be complete, unmodified, adequately packaged during return shipment, and accompanied by a valid RMA and proof of purchase.

If USATCO determines that a product is defective and covered by this Limited Warranty, USATCO’s sole obligation, and Buyer’s exclusive remedy, shall be, at USATCO’s option, to (i) repair the product, (ii) replace the product, or (iii) refund the purchase price paid for the product.

This Limited Warranty does not apply to any product that has been subjected to misuse, abuse, neglect, accident, improper installation, improper maintenance, unauthorized modification, tampering, attempted repair by unauthorized persons, operation outside recommended specifications, or normal wear and tear. The warranty also does not cover consumable items, routine maintenance items, or components subject to ordinary wear through normal use.

Products not manufactured by USATCO are not covered by this Limited Warranty, including kits of third-party items aggregated but not materially transformed by USATCO, and are subject solely to the warranties, if any, provided by their respective manufacturers. To the extent assignable, USATCO will pass through any applicable manufacturer warranties.

Warranty on Repair Services

Repair services performed by USATCO and replacement parts installed by USATCO as part of a repair are warranted to be free from defects in workmanship and materials for a period of one (1) year from the date of shipment of the repaired product by USATCO.

This repair warranty applies only to the specific repair work performed and replacement parts supplied by USATCO and does not extend to any other portion of the product not repaired, replaced, or serviced by USATCO.

If USATCO determines that a defect in the repair work or replacement parts exists during the applicable warranty period, USATCO’s sole obligation, and Customer’s exclusive remedy, shall be, at USATCO’s option, to re-perform the repair, replace the defective repair component, or refund the amount paid for the applicable repair service.

This repair warranty does not apply to failures resulting from misuse, abuse, accident, improper installation, improper maintenance, unauthorized modification or repair, normal wear and tear, operation outside recommended specifications, or any condition unrelated to the repair performed by USATCO.

A repaired product remains subject to the warranty applicable to the original product, if the product was purchased from USATCO. Performance of repair services shall not extend or restart any original product warranty except with respect to the repair services and replacement parts expressly covered under this Repair Warranty.

Returns of special-order, custom, non-standard, or made-to-order products are not permitted except with USATCO’s prior written approval and may be subject to a restocking charge.

EXCEPT FOR THE EXPRESS WARRANTY SET FORTH ABOVE, USATCO MAKES NO OTHER REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AND DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL USATCO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF USE, LOSS OF PRODUCTION, DOWNTIME, COST OF SUBSTITUTE GOODS, OR BUSINESS INTERRUPTION, WHETHER ARISING IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.

USATCO’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO ANY PRODUCT OR TRANSACTION SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

The remedies stated herein are the sole and exclusive remedies available to Buyer.
